Mutual NDA.

Parties.This Mutual Non-Disclosure Agreement (“Agreement”) is entered into between Global Engineering LLC, a Montana limited liability company (“Studio”), and the undersigned party (“Client”), collectively the “Parties.”

Confidential Information.Each Party may disclose to the other certain non-public, proprietary, or confidential information, including but not limited to: architectural drawings, structural plans, cost estimates, project budgets, site information, business strategies, and client identities (“Confidential Information”).

Obligations.Each Party agrees to: (i) hold the other’s Confidential Information in strict confidence; (ii) not disclose it to any third party without prior written consent; (iii) use it solely for the purpose of evaluating or executing the project engagement; (iv) limit internal access to those with a need to know.

Term. This Agreement remains in effect for three (3) years from the date of execution, or until the Confidential Information enters the public domain through no fault of either Party, whichever occurs first.

Exclusions.Obligations do not apply to information that: (a) was already publicly known; (b) was independently developed without reference to the other’s information; (c) was received from a third party without restriction; or (d) is required to be disclosed by law or court order.

Governing Law. This Agreement is governed by the laws of the State of Montana. Signed counterparts transmitted by email are binding. No notarisation required.
